1. Who we are and how to contact us
Breakout Strategies (“Breakout”, “we”, “us”, “our”) is operated by Breakout Strategies Ltd, a company incorporated in Jersey, Channel Islands, under company number 163916 with its registered office at La Tourelle Lodge, La Rue D’Aval, St Martin, Jersey, JE3 6ER, Channel Islands.
You can contact us at david@breakoutstrategies.ai. We will contact you using the email address linked to your account.
These Terms of Service (the “Terms”) are a legally binding agreement between you and Breakout. They apply to the Breakout website, the Breakout software platform (“Breakout OS” or the “Platform”), Breakout credits, and any strategist, consulting or done-for-you services we provide (together, the “Services”).
By creating an account, placing an order, or using the Services, you agree to these Terms, our Privacy Policy and our Refund Policy. If you do not agree, do not use the Services.
2. Eligibility and accounts
The Services are intended for businesses, agencies and professionals. By using them you confirm that you are at least 18 years old and that you have authority to bind the business on whose behalf you are acting.
- You must provide accurate, current and complete information when you register and keep it up to date.
- You are responsible for everything that happens under your account and for keeping your login credentials confidential. Tell us immediately at the email above if you suspect unauthorised use.
- Where your plan includes multiple seats, you are responsible for the people you invite and for ensuring they comply with these Terms.
- We may suspend or close accounts that provide false information, are used in breach of these Terms, or have been inactive for an extended period.
3. The Services
Breakout provides YouTube research, strategy and content-planning software together with optional support from human YouTube strategists. The exact features, limits and support levels included with each plan are described on our pricing page at the time you order.
- Plans and projects. Each plan includes a set number of projects. One project corresponds to one business or YouTube channel connected to the Platform.
- Breakout credits. Some features are powered by artificial intelligence, and each use of those features consumes credits in proportion to the AI processing it requires. Credits are included with certain plans and may also be purchased as top-up packs. Your credit balance and usage are reported to you within the Platform so you can see how credits are being consumed at any time. Credits are a licence to use metered features, not currency: they have no cash value, cannot be transferred or exchanged, and are not refundable except as set out in our Refund Policy. Included monthly credits expire at the end of each billing period unless we state otherwise. Top-up credits expire as stated at the time of purchase.
- Strategist and done-for-you services. Human strategist support, consulting, channel management and other done-for-you services are provided on the terms of your plan or a separate written agreement. Response times stated on our website are targets, not guarantees. Enterprise and VIP engagements may be governed by a separate order form or statement of work, which takes precedence over these Terms where they conflict.
- Free tools and promotions. We may from time to time make free tools, demos or promotional offers available. These are provided at our discretion and we may limit, modify or withdraw them at any time.
- Changes. We continually improve the Services and may add, change or remove features. If a change materially reduces the core functionality of a plan you have paid for, you may cancel and request a pro-rated refund of any prepaid, unused period in accordance with our Refund Policy.
4. Orders, payment and billing
Merchant of Record. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Paddle’s Buyer Terms and Conditions apply to every purchase you make from us.
- Enterprise and VIP plans are not sold through Paddle. Enterprise and VIP plans are custom engagements priced individually. They are agreed under a separate order form or statement of work and invoiced directly by Breakout Strategies Ltd, with payment by PayPal or bank transfer. Paddle’s Buyer Terms do not apply to those plans; the terms in your order form do.
- Prices. Prices are shown on our pricing page in pounds sterling (GBP) unless stated otherwise and exclude applicable taxes. Paddle calculates and collects any VAT, sales tax or similar charges at checkout based on your location.
- Subscriptions renew automatically. Subscription plans are billed in advance, monthly or annually depending on the billing cycle you select, and renew automatically at the end of each period at the then-current price for your plan until you cancel.
- Cancelling. You can cancel at any time from your account settings or by emailing us. Cancellation takes effect at the end of your current billing period and you keep access until then. We do not pro-rate partially used periods except where the Refund Policy or the law requires it.
- Price changes. We may change prices for future billing periods. We will give you at least 30 days’ notice by email before a price change affects an active subscription. If you do not accept the new price you may cancel before it takes effect.
- Upgrades and downgrades. Upgrades take effect immediately and are charged pro rata for the remainder of the current period. Downgrades take effect at the next renewal.
- Failed payments. If a payment fails, Paddle may retry it. If payment is not received we may suspend or downgrade your account until the balance is settled.
- Invoices and receipts. Paddle issues receipts and tax invoices for each transaction. Receipts and billing management are available through the link in your Paddle receipt email.
5. Acceptable use
You may use the Services only for lawful business purposes and in accordance with these Terms. You must not:
- use the Services to infringe anyone’s intellectual property, privacy or other rights, or to produce content that is unlawful, defamatory, deceptive or harmful;
- copy, scrape, crawl, bulk-export or resell data, outputs or any part of the Platform other than through features and export options we make available for that purpose;
- reverse engineer, decompile or attempt to discover the source code, models, prompts or underlying methods of the Platform, or build a competing product using it;
- share account credentials, circumvent plan limits, seat limits or credit metering, or use automated means to access the Platform without our written permission;
- interfere with the security or operation of the Services, probe or test their vulnerability, or introduce malicious code;
- use the Services in a way that breaches YouTube’s Terms of Service, the Google API Services User Data Policy, or any other third-party terms that apply to data you connect.
We may suspend or terminate access for breaches of this section without refund.
6. Your content and data
- You own your content. You retain all rights to the material you upload or connect to the Platform, including your channel data, briefs, scripts, project information and other inputs (“Customer Content”). Customer Content is business information about your channels, content and projects; it is not personal data, and the Platform is not designed for you to upload personal data about third parties. Personal data about you as an account holder is handled under our Privacy Policy.
- Licence to us. You grant us a worldwide, non-exclusive licence to host, process, analyse, display and transmit Customer Content solely to provide, maintain, secure and improve the Services and as otherwise permitted by our Privacy Policy.
- Your responsibilities. You confirm that you have the rights and permissions needed to connect and use Customer Content, including any channel you connect, and that it does not breach any law or third-party right.
- Connected accounts. When you connect a Google or YouTube account you authorise us to access the data covered by the permissions you grant. You can revoke that access at any time from your Google account security settings. Use of data obtained through YouTube API Services is governed by our Privacy Policy, the YouTube Terms of Service and the Google Privacy Policy.
- Data export and deletion. You may export your data using the tools we provide during your subscription. After termination we may delete Customer Content in line with our Privacy Policy.
7. AI-generated outputs
Parts of the Services use artificial intelligence to generate insights, ideas, text and other outputs (“Outputs”).
- To the extent we hold any rights in Outputs generated for you, we assign them to you on payment, so you may use Outputs for your business. Because AI systems may produce similar outputs for different users, we cannot guarantee that Outputs are unique.
- Outputs are produced automatically and may be inaccurate, incomplete or unsuitable for your purposes. You must review Outputs before relying on them or publishing them, and you are responsible for how you use them.
- Performance figures, forecasts and estimates shown in the Services, including any revenue, lead or growth projections, are illustrative. They are not guarantees of results.
8. Our intellectual property
The Platform, its software, databases, models, methodologies, designs, reports, templates, training materials and branding are owned by Breakout or our licensors and are protected by intellectual-property laws. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes during your subscription. No other rights are granted.
If you give us feedback or suggestions, you agree we may use them without restriction or payment.
9. Third-party services
The Services rely on third-party platforms and providers, including YouTube and Google APIs, payment processing by Paddle, cloud hosting, and AI model providers. Those services are subject to their own terms. We are not responsible for third-party services, for changes to their availability or pricing, or for content on third-party websites we link to. Public YouTube data shown in the Platform is provided by YouTube and we do not control its accuracy.
10. Confidentiality
Each of us will keep the other’s non-public business information confidential and use it only to perform or receive the Services, except where disclosure is required by law. This does not apply to information that is already public, independently developed, or lawfully obtained from someone else. This section continues to apply after termination.
11. Warranties and disclaimers
We will provide the Services with reasonable skill and care. Except as expressly stated in these Terms, and to the fullest extent permitted by law, the Services are provided “as is” and we disclaim all other warranties, express or implied, including fitness for a particular purpose, non-infringement and uninterrupted or error-free operation.
We do not guarantee any particular outcome from using the Services, including subscriber growth, views, leads, revenue or ranking. Results depend on many factors outside our control, including your content, your market and YouTube’s own systems.
Nothing in these Terms limits any rights you have as a consumer under applicable law that cannot be excluded.
12. Limitation of liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
Subject to that, to the fullest extent permitted by law:
- neither party is liable for any indirect, consequential or special loss, or for loss of profits, revenue, business, goodwill or data, even if advised of the possibility;
- our total aggregate liability arising out of or in connection with the Services in any 12-month period is limited to the amount you paid us for the Services in that period.
13. Indemnity
You agree to indemnify and hold harmless Breakout and its officers, employees and contractors from any claims, losses and costs (including reasonable legal fees) arising from your Customer Content, your use of Outputs, your breach of these Terms, or your breach of any law or third-party right.
14. Suspension and termination
- You may stop using the Services and cancel your subscription at any time as described in section 4.
- We may suspend or terminate your access immediately if you materially breach these Terms, if required by law, or if continuing to provide the Services would create legal or security risk. Where practicable we will give you notice and an opportunity to fix the problem first.
- We may also discontinue the Services or any plan on at least 30 days’ notice, in which case we will refund any prepaid, unused period.
- On termination your right to use the Services ends. Sections that by their nature should survive (including 6, 7, 8, 10, 11, 12, 13 and 16) continue to apply.
15. Changes to these Terms
We may update these Terms from time to time. We will post the updated version on this page with a new effective date and, for material changes, notify you by email or in the Platform at least 14 days before they take effect. Your continued use of the Services after that date means you accept the updated Terms. If you do not accept them you may cancel before they take effect.
16. Governing law and disputes
These Terms and any dispute arising out of them are governed by the laws of Jersey, and the parties submit to the exclusive jurisdiction of the courts of Jersey. If you are a consumer, you may also benefit from mandatory provisions of the law of the country where you live.
Before starting formal proceedings, please contact us at david@breakoutstrategies.ai so we can try to resolve the issue informally.
17. General
- These Terms, together with our Privacy Policy, Refund Policy, the pricing page and any order form or statement of work, are the entire agreement between us about the Services.
- If any provision is found unenforceable, the rest of the Terms remain in force.
- Our failure to enforce a right is not a waiver of it.
- You may not assign these Terms without our consent. We may assign them to a successor or affiliate.
- Neither party is liable for delays or failures caused by events beyond its reasonable control.
- Notices to us should be sent to the email address in section 1. Notices to you will be sent to your account email.
